Well,I changed the coil...same prob
Then I changed the distributer(had to modify it to fit the ve)....no change,same prob...WTF.Although,I don't know for sure that the dizzy I had was good,it seems odd to have a spare with the same prob.I was gonna put the one I took off on my DE car to see if it works there.

I wonder if there was a fuel problem,it would throw the ignition code,since it shuts off .The car has some rusted fuel lines,but the fuel pump is working,and I pulled it to check for clogged sock,etc.

Damm this sucks...I dont know where to go from here

Check your fuel pressure.. I had a bad fuel regulator that also did this..

Question, did your old Dizzy have any oil in the inside??

A customer who had an MSD Box on his Altima had that same code , he needed a Tack Adaptor through MSD to fix it .....

Old dizzy had no oil ,dry as a bone.

Got a vdo guage that shows like 60lbs .Nismo afpr.I have not checked pressure any other way.Will you get a 21 code if the car loses fuel?I was thinking of resetting the ecu and starting it.Pulling the fuse for the fuel pump and checking the code to see if it does.
I really wanted to sort this out before I swap the motor to my new shell

I would guess that it is the CAS as well, i had a problem like this way back, i would drive it would start to sputter once it got warm and then just shut off, and not want to start. when it doesnt want to start have you check for spark ?

losing fuel would not cause code 21. If you suspect that, just pull off one of the fuel lines once the car shuts off, and see if it still has pressure.

I still think your going to end up replacing the dizzy in the end. Like carfreak240 said, Check for spark once it doesn't start.

I have replaced the dizzy once so far,but that was not known good.It was off a motor I never heard run.I guess I need a known good one to try.

I have tried to pull a plug and check for spark....It died,I tried a cou[le times to start it with no luck.So I pull a plug and it fired up on 3 cys...crazy.
I dont know if it was just ready to start again or if it really lost spark or what.
What I do know is the car runs perfect when it starts,and when it dies it just shuts of,no warning.
I will be messing with it again tomorrow...its funny ,I have to tell my GF that I am leaving and listen for the phone.."going to try to break down",lol.
I can start it and it will idle allday,cant get it to shut off sitting in front of the house.So I gotta drive around the neighborhood with tools in the car to wait for it to die on me.Neighbors think I am nuts(well they probably do anyway)

Fixed It
Thanks everyone for the replies and help.
Problem was the power transistor(aka ignitor)
Cheap part,that TESTED GOOD according to the FSM
I had 3 of these laying around,and I had changed everything else except the ecu up till that point.
In all my searches,anyone who had a problem with this part had a no start condition,and their power transistor tested bad
My car would start and run fine,but then die.Looking back on it the car was breaking up under a load.That is why I put on a cap rotor and plugs,first.

Now....Yeah,baby!!! VE FTMFW.
Its running like a champ,now.Cant wait to get this motor out of this rotted chassis and into my new rust free egg

glad to hear you got it fixed,, after all the crap you went through it's funny how it was something small enough that was over looked. ,,
